Oslo, 24 August 2022: Reference has been made to announcements on 2 June and 7 July 2022 regarding the transfer of Yara’s Pure Ammonia business to a wholly owned subsidiary of Yara International ASA (“Yara”). Demerger and subsequent triangular merger of Yara’s Clint Ammonia business to form Yara Clint Ammonia Holding AS, a wholly owned subsidiary of Yara.
The winding up of the Yara Clint Ammonia business has been registered in the Norwegian Register of Commercial Enterprises, and the Yara Clint Ammonia business has been transferred to an intermediary company, Yara Clint Ammonia Newco AS, and Yara’s share capital has been reduced. Decline in value per share. Yara’s new share capital is 363,697,250.2306 kroner, divided into 254,725,627 shares.
Prior to the opening of the stock market in Oslo tomorrow, August 25, 2022, the intermediate company Yara Clip Ammonia Newco AS will merge with Yara Clean Ammonia Holding AS in a three-way merger. It has increased to 433,033,565.90 crores, which consists of 254,725,627 shares, that is, as it was before the merger. A separate announcement will be made when the merger is completed in the Norwegian Business Enterprises Register.
Accordingly, following the completion of the demerger and the triangular merger, Yara’s shareholders will have the same number of shares in the company and the stock price in Yara will be the same as before the demerger and the triangular merger.
